1. The Service
Upvaro provides a product-page Cash on Delivery (COD) order form and related features (such as upsells, order verification, recovery tools, and integrations), as configured by the merchant.
2. Eligibility
You must be at least 18 years old and have authority to bind the business you represent.
3. Shopify Platform
Upvaro is a third-party app. Your use of Shopify is governed by Shopify’s terms and policies.
4. Subscriptions and Billing
If you purchase a paid plan, charges, billing periods, and taxes (if applicable) are shown in the Shopify billing approval flow. Fees are billed in advance unless stated otherwise.
5. Merchant Responsibilities
You are responsible for configuring the Service and your storefront lawfully (including any required customer notices/consents), ensuring your form content and offers are accurate, and maintaining your store settings so the Service can function.
6. Acceptable Use
You must not use the Service for unlawful, fraudulent, abusive, or deceptive activity; attempt to bypass security or disrupt operations; or upload malware or attempt unauthorized access.
7. Data and Privacy
Upvaro processes customer and order information only for the time needed to perform the actions you request (for example, creating/forwarding orders to Shopify, exporting to Google Sheets, or sending messages via WhatsApp providers). Upvaro is not intended to permanently store customer personal data. See the Privacy Policy for details.
8. Third-Party Services
The Service may connect to third-party services (for example, Google Sheets or WhatsApp providers). Your use of those services is governed by their terms, and Upvaro is not responsible for third-party services.
9. Intellectual Property
We retain all rights in the Service. You retain rights to your store content and data.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". We do not guarantee uninterrupted or error-free operation.
11. Limitation of Liability
To the maximum extent permitted by law, Upvaro will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data. Our total liability for any claim will not exceed the amount you paid for the Service in the 3 months before the event giving rise to the claim (or USD $100 if you are not on a paid plan).
12. Termination
You may stop using the Service at any time by uninstalling the app. We may suspend or terminate access if required for security/legal reasons or if you violate these Terms.
13. Changes
We may update these Terms from time to time. We will post the updated Terms with a new effective date.
